Constitution

 

      ARTICLE I

 

      Name

 

      The name of the organization shall be "ST. LOUIS DEMOCRATIC CITY CENTRAL COMMITTEE".  P.O. Box 1322, St. Louis, MO  63188

 

      ARTICLE II

 

      Purpose

 

.     The purpose and objectives of this organization are to organize and elect persons nominated in or by a Democratic Primary Election.

 

      ARTICLE III

 

      Membership

 

      The St. Louis Democratic City Central Committee shall be composed of the duly qualified Committeemen and duly qualified Committeewomen from each of the twenty-eight (28) Wards in the City of St. Louis.

 

      ARTICLE IV

 

      Election and Term of Committee Members

 

      Election of Committeemen and Committeewomen shall take place at the primary election occurring every four (4) years after August 1948, and they shall serve four (4) years.

 

 

 

 

 

 

 

 

 

 

      ARTICLE V

 

      Officers of the St. Louis Democratic City Central Committee

 

      Officers of the St. Louis Democratic City Central Committee shall be a Chairman, a Vice Chairman ( one of whom shall be a woman ), a Secretary, a Treasurer ( one of whom shall be a woman ) and a Sergeant at Arms.  These officers shall be elected at a meeting called on the third Tuesday in August following the State primary ( 15.615 R.S. Mo. ) by a majority vote of those members present and voting.

 

 

ARTICLE VI

 

Roberts Rules

 

Roberts Rules of Order shall govern all procedures in any and all meetings of the St. Louis Democratic City Central Committee, except where such rules may conflict with the Constitution and By Laws

 

ARTICLE VII

 

The name of this organization shall not be used in any legal action nor attached to any petition for any reason, except by a two-thirds majority vote of the Democratic City Central Committee members present and voting at a meeting of the St. Louis Democratic City Central Committee.

 

ARTICLE VIII

 

Amendment

 

This Constitution and By Laws may be amended at any meeting of the St. Louis Democratic City Central Committee by a two-thirds majority vote of those members present and voting, provided a copy of the proposed amendment has been sent to each member of the committee not less than fifteen ( 15 ) days prior to the meeting of the St. Louis Democratic City Central Committee.

 

 

 

 

 

 

 

 

 

 

 

 

By-laws

 

 

ARTICLE I

 

Filing Fee

 

The filing fee for said office of committeeman and committeewoman shall be $100.00 ( One Hundred Dollars ), paid to the Treasurer of the St. Louis Democratic City Central Committee, ( Sec.115.611 R.S. Mo. )

 

ARTICLE II

 

Removal of Officers

 

At a meeting called at the request in writing of not less than twenty nine ( 29 ) members of the St. Louis Democratic City Central Committee, any or all of the officers so elected may be removed by two-thirds vote of those members present and voting.  Notice of such a meeting shall be served on all of the members on the St. Louis Democratic City Central Committee, by certified mail, within twenty-one ( 21 )days after such a request for removal from office is received by the Secretary of the St. Louis Democratic City Central Committee.

 

ARTICLE III

 

Duties of Officers

 

Chairman

 

The Chairman shall preside at all regular and special meetings of the St. Louis Democratic City Central Committee.  He/She shall countersign all checks with the Treasurer.  He/she shall call to order and preside at all functions sponsored by the St. Louis Democratic City Central Committee, unless otherwise requested by the members, and shall be ex-officio member of all standing and special committees.  He/She shall appoint such special, standing or sub-committees as deemed necessary or advisable.

 

 

 

 

 

 

 

VICE-CHAIRMAN

 

The Vice Chairman shall preside over the committee meetings, regular and special, during the absence of the Chairman and perform all of the duties of that office in the event of a vacancy.  The Vice Chairman  shall be ex-officio member of all committees.  In the Event of a vacancy in the office of Chairman, the Vice Chairman shall call a special meeting with in fifteen ( 15 ) days from the date of when such a vacancy occurs, for  the purpose of filling such vacancy.

 

 

SECRETARY

 

The Secretary shall attend all meetings, regular and executive board meetings, of the St. Louis Democratic City Central Committee and shall keep a permanent record of proceedings thereof in a proper book.  The Secretary shall send out notices for regular and special meetings of the St. Louis Democratic City Central Committee, and any announcements of functions sponsored by the St. Louis Democratic City Central Committee to the press.

 

TREASURER

 

The Treasurer shall receive all monies and shall disburse the same only upon the orders of the Chairman.  The Treasurer shall establish the following accounts.

Account #1

 

General Account: where all monies collected from filing fees shall be placed.  This fund will pay for the general operations of the organization.

 

Account #2 & 3

 

Fund Raising Accounts: Shall contain all moneys from fund raisers of the St. Louis Democratic City Central Committee, also contributions from State and Federal committees.  These two committees will be segregated due to campaign reporting procedures. 

 

Authorized checks must be endorsed by two of the following officers Treasurer, Chairman, Vice Chairman.  Under no circumstances can the person to whom the check is written be one of the endorsing signatures.  The Treasurer shall be bonded, premium for said bond to be paid for by the St. Louis Democratic City Central Committee.  The Treasurer shall be subject to an audit as requested by the chairman by a majority of the committee or prior to a change of officer.  The Treasurer shall be audited by three independent members of the committee appointed by the chairman prior to the annual election of officers (as stated in article V of the Constitution).  The Treasurer shall provide a written report at each meeting of the St. Louis Democratic City Central Committee.  The report will list all transactions since the last report given.  The Treasurer shall provide a written year end report at the last meeting of the calendar year. 

 

 

 

Sergeant at Arms

 

The Chairman shall request the Sergeant at Arms to call all meetings of the St. Louis Democratic City Committee to order. He/she shall take the roll call and count the votes when the chairman calls for the show of hands.

 

 

ARTICLE IV

 

Vacancy in Ward Committee

 

( a ) In the event of a vacancy caused by the death or resignation, or for any other reason, the surviving member of the ward committee shall notify the St. Louis Democratic City Central Committee, and such surviving member shall nominate a successor to fill the vacancy within ninety ( 90 ) days from the date the vacancy occurs.  It shall be the policy of the St. Louis Democratic City Central Committee to accept the recommendation.  After such nominations received the Chairman of the St. Louis Democratic City Central Committee shall call a meeting, within fifteen ( 15 ) days, for the purpose of filling such vacancy.

 

( b ) Where there is no surviving member, the Chairman of the St. Louis Democratic City Central Committee shall appoint three ( 3 ) members of the committee to hold a meeting within the Ward boundaries of said Ward involved, and they shall make a recommendation to the committee as to their findings and their further recommendation for action of the St. Louis Democratic City Central Committee.

 

 

 

 

 

 

 

 

 

 

 

 

 

 

 

 

ARTICLE V

 

Meetings of the St. Louis Democratic City Central Committee - Quorum

 

( a ) The St. Louis Democratic City Central Committee shall meet not less than once every three ( 3 ) months.  Special meetings may be called by the Chairman, or at the written request of fourteen ( 14 ) members of the committee.  Notice of such special meetings shall set forth the purpose for which it was called.

 

( b ) If there are no vacancies in the St.Louis City Central Democratic Central Committee twenty-nine ( 29 ) members of the St. Louis Democratic City Central Committee shall constitute a quorum for the conduct of business at regular and special meetings.  A majority of any special, standing or sub-committee shall constitute a quorum.  If there are vacincies a majourity of the filled positions shall constutute a quorum.

 

 

ARTICLE VI

 

Proxies

 

Proxies shall be called for and examined by the Credentials Committee appointed by the Chairman, as the first order of business at a regular or special meeting and all proxies shall contain the following information ( 1 ) Name of the person appointed to serve as proxy; ( 2 ) Date of meeting at which proxy will be presented; ( 3 ) Signature of the St. Louis Democratic City Committee member appointing the proxy; ( 4 ) Notary statement and seal.  When the proxy holder has been certified by the Credentials Committee he/she shall be entitled to participate in the meeting  and vote as the member he/she  represents.

 

 

ARTICLE VII

 

Elections

 

(a) The St. Louis Democratic City Central Committee shall be responsible for the conduct of all election campaigns held in the City of St. Louis, except primary elections.  The Chairman shall appoint such committees as may be deemed appropriate for every such election campaign

 

(b) The Chairman of the St. Louis Democratic Central Committee shall not issue credentials for any electionto aneyone other than duly qualified members of the City Central committee.

 

 

 

ARTICLE VIII

 

Rules and Regulations

 

The St. Louis Democratic City Central Committee  may adopt and furnish to each member, such rules and regulations as it may deem advisable for the orderly administration of its business, and may amend, modify or cancel such rules and regulations from time to time, upon approval of the Committee members.  Vote on adoption or on any change or amendment shall be by a two-thirds vote of those present and voting, provided a copy of such rules and regulations, or changes, or amendments shall be furnished to the Committee members no less than fifteen

( 15 ) days prior to the date of the meeting where voting will take place; and providing there is a quorum.
